The certificate of authority, sometimes called a certificate of corporate custom (certificat de coutume sociétaire), is a deed by which the notary attests that a company exists lawfully and that its director has the power to represent it and bind it in a given transaction.
This document is often required by a bank, a partner or a foreign authority before the signing of a contract, the opening of an account or the making of an investment. It reassures third parties as to the validity of the commitment entered into on behalf of the business.
